BME to hold an Extraordinary Shareholder Meeting on 30 July

  • Among the items on the agenda are the ratification of Jos Dijsselhof and Daniel Schmucki as Board directors
  • The appointments of Marion Leslie, Head of Financial Information at SIX, Belén Romana, as independent director, and the reelection of Javier Hernani and David Jiménez-Blanco to be submitted for approval
  • The Meeting will be held remotely

The Board of Directors of BME today agreed to call an Extraordinary General Shareholders' Meeting for July 30th, which will be held remotely due to the attendance restrictions in place for events held in enclosed spaces, due to the Covid-19 crisis. The attending shareholders´ participation, voting and information rights will thus be preserved without risk to their health.

Among the agenda items is the amendment of article 26 of BME’s Bylaws, to reduce the minimum number of Board members from 9 to 6, and the maximum number from 15 to 9.

The removal, appointment, ratification and re-election, if applicable, of members of the Board will also be submitted to the shareholders for approval. Thus, the removal of Antonio Zoido, Javier Hernani, David Jiménez-Blanco, María Helena dos Santos, Ana Isabel Fernández Álvarez, Joan Hortalá, Isabel Martín Castella and Juan Carlos Ureta will be submitted for approval.

Once the number of Board directors is determined, the shareholders will vote on the appointment of Marion Leslie, representing SIX; Belén Romana, as independent director; the ratification of Jos Dijsselhof and Daniel Schmucki, and the reelection of Javier Hernani and David Jiménez-Blanco. All of them as members of the Board for the statutory term of four years.

Marion Leslie is Head of Financial Information at SIX. Belén Romana is currently on Banco Santander’s Board of Directors and is also the former Chairman of Sareb.
